Business Continuity Policy

This Policy sets out how the Firm shall ensure uninterrupted, timely, and efficient service to the Clients even through planned and unplanned interruptions.

Objectives of the Policy
  1. To ensure uninterrupted, timely, and efficient service for the Clients of the Firm.
  2. To identify the potential challenges regarding the continuity of the Firm’s operations and provide effective responses.
Definitions
  1. Alternative arrangement – means any temporary arrangement of professionals, consultants, or agents by the Firm to fulfil its commitment.
  2. Associate – means any person authenticated as an official associate by Efficax Consultants LLP
  3. Business – includes every commercial assignment accepted by the Firm.
  4. Crisis – includes events mentioned in Annexure 1
  5. Data – means any information received from the client through Email or any other mutually agreed mediums between the Firm and the client.
  6. Discontinuation – includes any gap or interruption in services of the Firm which affects deadline/ commitments given to clients by the Firm but does not include official holidays of the Firm or vacations.
  7. Firm – means Efficax Consultants LLP (LLPIN-AAS-5317)
  8. Partner – means any designated partner or partner of Efficax Consultants LLP (LLPIN-AAS-5317)
Discontinuation of services and alternatives arrangements
  1. The partner of the Firm shall intimate to the client his/her planned discontinuation period at least 3 days before along with the Email Id and mobile number of the other partner to whom the handover is made and the status of the work.
  2. The associate of the Firm shall intimate to the client his/her planned discontinuation period at least 3 days before along with the Email Id and mobile number of any partner to whom the handover is made and the status of the work.
  3. If the Firm voluntarily discontinues its service for any reason for a period longer than 15 days, then it shall provide competent alternative professionals, consultants or agents to the client without any additional fees for providing such alternatives.
  4. If any partner or associate discontinues his /her service for any unplanned reason, then such partner or associate shall hand over his/ her assignment to any partner of the Firm as soon as possible but not later than 2 days of the first occurrence of the reason and communicate the same to the client along with Email ID and mobile number of that partner.
Crisis management
  1. The Partners of the Firm shall frame a crisis management plan.
  2. The Firm shall submit its crisis management plan to the Client upon request.
  3. The crisis management plan shall mandatorily include the status of the assignment, likely impact on the assignment and alternative plans to execute an assignment in crisis or after the crisis.
Responsibility of the Firm regarding alternative resources
  1. The alternative resource shall be legally competent to consult and execute the assignment of the client.
  2. The alternative resource shall be bound by the proposal given by the Firm to the client.
  3. The Firm shall be liable for the acts done by the alternative resource in the ordinary course of execution of the assignment.
  4. The alternative resource shall be bound by the non-disclosure undertaking signed by the Firm.
  5. The Firm shall not be liable for any damages if the course of action changed by the client and the alternative resource by mutual consent.
Protection of data
  1. The Firm shall always take necessary steps for the protection of data received from clients.
  2. The Firm cannot be held responsible for the loss of any data which is beyond the control of the Firm.
Communication in crisis situations
  1. If a client is not able to reach any partner of the Firm continuously for a period of 15 days by any medium and no alternative resource is provided to such Client, Clients may contact CS Thirupal Gorige at [email protected] or at contact number: 080 79634233.
  2. Firm and client may convey their acceptance, rejections or any other decisions through authorized representative agreed by both the parties in crisis situations.
Non-applicability

This policy shall not be applicable to the following clients

  1. Who has not paid the due bills of the Firm.
  2. Who has violated any term stipulated in the proposal given by the Firm.
  3. Whose assignment accepted by the Firm without any professional fees. (pro bono activities)
  4. Who has been issued an assignment completion letter or any other official communication by the Firm.
Annexure 1

Crisis includes

  1. Vis Major incident – e.g. earthquake, flood
  2. Pandemic situations
  3. Major health issues related to partner or associate
  4. Disconnected internet or network in relevant city or town
  5. Lockdowns, violence or any safety issues in relevant city or town
  6. Cyberattack (including malware, ransomware, viruses or any other threats)
